Terms of Use

Last updated: October 11, 2026

Agreement to These Terms

These Terms of Use (“Terms”) are a binding agreement between you and ReUp Advisory, LLC, a New York limited liability company doing business as ReUp Benefits (“ReUp,” “we,” “us,” or “our”). We operate the website reupbenefits.com and any related pages, forms, and communications that link to these Terms (together, the “Services”). By using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, please stop using the Services.

We are a PEO brokerage. We help businesses compare, price, and negotiate professional employer organization (PEO) arrangements. Our contact details are in Section 20.

1. Our Services

The Services are intended for business owners and professionals in the United States. They are not intended for use by anyone in a place where that use would be against local law. The Services are not designed to meet industry-specific rules such as HIPAA, and you should not submit protected health information or other regulated personal data through the Site. If you are subject to such rules, do not send us that data unless we have agreed in writing on how it will be handled.

2. Information Only, Not Professional Advice

Content on the Site is general information about PEOs and related topics. It is not legal, tax, accounting, insurance, or employment advice, and reading it does not create an advisory relationship with us. Talk to your own attorney, accountant, or other licensed advisor before making decisions about your workforce, benefits, or contracts.

3. No Client Relationship Until We Agree in Writing

Submitting a form, booking a call, or emailing us does not make you a client. A client relationship begins only when you and ReUp both sign a written engagement or similar agreement. Until then, we have no duty to review your documents, obtain quotes, or negotiate on your behalf.

4. No Guarantee of Results

Savings, rate reductions, and contract improvements depend on your company, your current PEO, the market, and the PEO’s own decisions. Any examples, statistics, or sample reports on the Site are illustrations and not a promise that you will get the same outcome. PEOs set their own prices, terms, and approval decisions, and we do not control them.

5. How We Are Paid

PEO brokers are typically paid by the PEO, often as a commission or a share of fees. [Describe your actual model here, for example: “ReUp is paid by the PEO you choose, and there is no charge to you for our brokerage services.” If you charge clients any fee for audits or consulting, say so here.] Where required by law or by a written agreement, we will disclose our compensation to you.

6. Intellectual Property

We own, or have the right to use, everything on the Services, including text, graphics, logos, the ReUp and ReUp Benefits names, sample reports, designs, and underlying software (the “Content”). The Content is provided for your personal or internal business use only. We give you a limited, non-exclusive, revocable license to view the Site and to print or download portions for that purpose. You may not copy, republish, sell, scrape, or build on the Content without our written permission.

7. Your Responsibilities

By using the Services, you confirm that you are at least 18 years old and able to enter into a binding agreement, that the information you give us is accurate, that you have the authority to share any business or contract information you send us, and that you will use the Services only for lawful purposes. You also agree not to use bots, scripts, or other automated tools to access the Services, and not to try to interfere with their operation or security.

8. Prohibited Activities

You may not use the Services to break the law, harass or harm others, upload anything that infringes someone else’s rights or contains malware, impersonate another person, collect other users’ information, or try to reach any part of the Services you are not authorized to access.

9. Information You Submit

When you send us a message, form entry, or document, you confirm that you have the right to share it and that it is not unlawful, misleading, or defamatory. You give us permission to use it to respond to you, to provide the services you request, and, if you ask us to obtain quotes, to share the necessary details with PEOs. We may remove or decline to act on submissions that violate these Terms. How we handle personal information is described in our Privacy Policy.

10. Third-Party Sites and PEOs

The Services may link to or mention PEOs, carriers, and other third parties. We do not control them and are not responsible for their content, products, pricing, or practices. Any agreement you enter into with a PEO is between you and that PEO.

11. Suspension and Termination

We may restrict or end your access to the Services at any time, without notice, if we believe you have broken these Terms or are misusing the Services. Sections that by their nature should continue (including intellectual property, disclaimers, limits on liability, indemnification, and governing law) will survive.

12. Changes and Interruptions

We may change, suspend, or discontinue any part of the Services at any time. We are not responsible if the Site is unavailable for any reason. We may update these Terms by posting a new version with a new “Last updated” date. Using the Services after that date means you accept the updated Terms.

13. Corrections

The Services may contain typos, errors, or outdated information, including about PEO offerings. We may correct them at any time without notice.

14. Disclaimer

The Services and Content are provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

15. Limitation of Liability

To the fullest extent the law allows, ReUp and its owners, employees, and contractors are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, arising from your use of the Services. Our total liability for any claim relating to the Services will not exceed [$100 or the amount you paid us in the 12 months before the claim, whichever is greater]. Some jurisdictions do not allow certain limits, so parts of this section may not apply to you.

16. Indemnification

You agree to defend and hold harmless ReUp and its owners, employees, and contractors from any claim, loss, or expense (including reasonable attorneys’ fees) arising from your misuse of the Services, your submissions, or your violation of these Terms or of anyone’s rights.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict of law rules. Before filing any claim, you agree to contact us and try to resolve the dispute informally for at least 30 days. If that fails, any dispute will be resolved by binding arbitration in New York, New York, under the rules of the American Arbitration Association, and you and ReUp each waive the right to a jury trial and to bring claims as part of a class action. Either party may go to small claims court for eligible disputes, and either party may seek court relief to protect intellectual property. If any part of this section is found unenforceable, the dispute will be heard in the state or federal courts located in New York County, New York.

18. Electronic Communications and Signatures

You agree that we may communicate with you electronically, including by email and through the Site, and that electronic notices satisfy any legal requirement that communications be in writing. You also agree that electronic signatures on forms and agreements with us are legally binding.

19. California Residents; General Terms

If you are a California resident, you may contact us at the email below to resolve a complaint. You may also reach the Complaint Assistance Unit of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.

These Terms, together with our Privacy Policy and any written agreement we sign with you, are the entire agreement between us on this subject. If a part of these Terms is unenforceable, the rest stays in effect. Our failure to enforce a right is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, sale, or reorganization.
